Metropolitan was the lead advisor role on three buy side mandates for a leading Polish telecom and technology company, each valued substantially above PLN 500 million. Work entailed multiphase due diligence, valuation and transaction support coordination.

Sell side and capital raising mandate from a private company

Metropolitan supported a privately held IT company and its owners in raising capital for further development and in partial exit. Developed market and company financial models and performed valuation. Prepared equity story and assisted in negotiations with PE funds.

Merger of real estate assets owned by the Treasury

Metropolitan - in consortium with DTZ Polska, a real estate advisory - assisted the Ministry of the Treasury in merging real estate assets into Grupa PHN S.A. (deal size above EUR 500 m), prior to the planned IPO.

IPO of Polish companies on the Warsaw Stock Exchange

Waldemar Maj was engaged in EUR 2 bn IPO of PZU S.A. in 2010 (he chaired the IPO Committee of the Supervisory Board), EUR 100 m IPO of Bank BGZ in 2011 (he chaired the IPO Committee of the Supervisory Board and the IPO Steering Committee), and was invited to join the Supervisory Board of TMS Brokers S.A. prior to the listing on the NewConnect.

Krzysztof Dresler was engaged in the IPO of PKO BP SA in 2004, and in the capital increase process in 2009.

SPO of Polish companies listed on the Warsaw Stock Exchange

Waldemar Maj was engaged in over EUR 100 m SPO of Ciech S.A. in 2011 (as a Supervisory Board Member) and assisted a strategic investor in evaluating a EUR 1.25 bn SPO in 2009.

Financing of Julietta Gold Project (Russia)

Waldemar Maj led the execution team, performing commercial due diligence and negotiating all transaction documents, including a $10 million senior loan and an option to invest in shares of Bema Gold, the Canadian sponsor company listed on the Toronto Stock Exchange. IFC financing was arranged in parallel to commercial loans and enabled the closing of the project financing. It was the third successfully arranged financing for a green field mining operation in the Russian Federation.

Privatization of leading Polish financial institution

Wojtek Stankiewicz created and led the winning consortium in a major public sector privatization advisory bid and, subsequently, working with its public sector owner and the company on crafting the privatization strategy, preparing and launching the actual transaction. The sensitive nature of the transaction and the changing political landscape in Poland meant close cooperation with the owner and frequent modifications of the overall strategic approach. IPO of RUCH, leading Polish retailer

Wojtek Stankiewicz led the team advising the CEO on overall preparation and execution of the IPO. This included defining detailed growth strategy, creating investment plan, crafting equity story and management interaction with investors, as well as counseling and assisting the CEO on tightly timed transaction preparations, culminating in successful, well received and heavily oversubscribed public offer - one of the largest in the Polish market.

Post-merger integration of Carrefour and Albert

Wojtek Stankiewicz led the largest Polish retail post-merger integration, including overall program office coordination, integration of formats and offering, monetization of purchasing synergies, integration of IT systems and creation of one joint organization and culture. [MOVE TO SA]

License bid of Saudi Telecom

Wojtek Stankiewicz led a company-wide foray attempt into new regional market by means of bidding for 3G telecom license. Built detailed business plan including bid valuation, coordinated external partners, including law firm, investment bank, regulatory advisory and PR firm and provided overall quality management up to formal filing.

Trade sale privatization of a leading Polish services blue-chip

Wojtek Stankiewicz led the team working as advisor to management on preparing and conducting one of the largest trade sale privatizations in the market. Crafted equity story, coached management on investor interaction, evaluated bids received, calculated synergy potential achievable and issued recommendations on party to be selected.

Banking real estate portfolio restructuring

Artur Kluz advised Spanish bank on real estate portfolio restructuring and sell-side process in Spain (over $1.5 billion). Negotiated, drafted and revised transaction documents and structured investment qualification criteria for buyers.

Real estate bonds financing

Artur Kluz advised on tax-exempt bonds financing of $200 million investment in real estate in New York, the bonds were issued by the New York State Housing Finance Agency.

Capital raising - venture

Artur Kluz advised Silicon Valley firm on capital raising (over $30 million) dedicated for investments in new media, sustainability and education. Prepared investors distribution documents and managed communications with investors such as SWFs in Singapore, Abu Dhabi and Kuwait, HNW individuals and family offices.

Artur Kluz assisted Swiss private banks on their products distribution and advised on structuring of the family offices and trusts under Swiss, Luxembourg and Netherlands jurisdictions.
